China-Supply.com Membership Agreement:

1. Acknowledgment and Acceptance of Terms
China-Supply.com is solely owned and operated by CECF Advertising Co., Ltd. All service of China-Supply.com is provided with strict abidance of its term of service and operating rules. User of China-Supply.com must agree all the terms of service and register to become a member.
This agreement is applicable to all members of China-Supply.com regardless of the registration means.

2. Terms of Service for Members
1). Upon registration, member must provide true, accurate, current and complete information about yourself or company as prompted by the member information form and maintain and promptly update the member information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or China-Supply.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, China-Supply.com has the right to suspend or terminate your registration and refuse any and all current or future use of the service (or any portion thereof) in any form. If you have registered with us on behalf of a company or other entity, then you represent and warrant that you have the authority to bind such company or other entity to the terms. 

2). The service is only available to individuals or companies who can form legally binding contracts under applicable law. Thus, you must be at least 18 years of age to use our services. If you do not qualify, please do not use the service. China-Supply.com may, in its sole discretion, refuse the service to anyone at any time. The service is not available to temporarily or indefinitely suspended China-Supply.com members. 

3). Member must provide all equipment, including a computer and modem, necessary to establish a connection to the World Wide Web and provide for own access to the World Wide Web and pay any telephone service or net service fees associated with such access. You are responsible for paying all applicable taxes and duties and for all hardware, software, service and other costs you incur to trade, onerous service from us, or access our server. China-Supply.com reserves the right to modify or discontinue any or all of the service with or without notice to member.

4). Member should be fully responsible with respect to all information, includes any information data, text, software, music, sound, photographs, graphics, video, messages or other materials you provide to China-Supply.com or other users. China-Supply.com only acts as a passive conduit for your online distribution and publication of your information. We may take any action, including but not limited to deleting the information, with respect to your information we deem necessary or appropriate in our sole discretion if we believe it may create liability for us or may cause us to lose our qualification of providing (in whole or in part) the services of our ISPs or other suppliers. You hereby warrant that you have all rights, including all copyrights, necessary to submit your information to China-Supply.com. We do not take any responsibility to determine what information that is submitted to us is protected, nor will we be responsible for the use of your information by other users of the service. 

5). China-Supply.com. acts as the venue for users to locate people to trade with, to negotiate the exchange of goods and services and to obtain various trade-related services. However, we have no control over the quality, safety or legality of the items being traded, the truth or accuracy of the item listings, the ability of traders to fulfill their obligations in a trade agreement. China-Supply.com makes no warranty that the service will meet your requirements, or that the service will be uninterrupted, timely, secure, or error free.

6). Member grant to us the non-exclusive, worldwide, perpetual, royalty-free right (with the right to sublicense through multiple tiers) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display (in whole or in part) your information, and/or to incorporate your information in other works in any form, media, or technology now known or later developed.

7). Member is prohibited to post on our site or trade through our site any item that could cause us to violate any applicable law, statute, ordinance or regulation.

8). Once you become a member of China-Supply.com, you shall receive a Member Login Name and a password for your account. You are entirely responsible if you do not maintain the confidentiality of your Login Name, password and any other information of your account. Furthermore, you are entirely responsible for any and all activities that occur under your account. Member agrees to immediately notify China-Supply.com of any unauthorized use of member's account or any other breach of security known to you. China-Supply.com cannot, and will not take responsibility for any loss or damage incurred due to your failure of abiding this term.

9). Member must ensure the activity in collection with the use of China-Supply.com will not violate any law, statute, ordinance or regulation (including without limitation those governing export control, trade quotas, consumer protection, unfair competition, anti-discrimination or false advertising).

10). Member must not use our site to produce or spread any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

11). Member must not use our site to connect with chain letters, junk e-mail, or any duplicative or unsolicited messages. It is also prohibited to collect e-mail addresses and other information about others without our prior notice and their consent, or to create false e-mail addresses or otherwise attempt to mislead others as to the identity of the sender or the origin of a message.

12). It is China-Supply.com's policy to respect the privacy of its members.  Therefore, in addition to the privacy of registration data as discussed above, China-Supply.com will not monitor, edit, or disclose the contents of a member's private communications through the service unless required to do so by law or in the good faith belief that such action is necessary to: 
(1) Conform to the requirement or authorization of member to disclose the information.
(2) Conform to the order of the law or comply with legal process served on China-Supply.com.
(3) Act under exigent circumstances to protect the privacy safety of its members or the public.
(4) Conform to other relative requirements.

13). Member should not use any device, software or routine to interfere or attempt to interfere with the proper working of the China-Supply.com site or any trade being conducted on our site. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose. 

14). Member should not take any actions which may undermine the integrity of the feedback system (e.g., "Member Tag"), such as: leaving positive feedback for yourself using secondary Member IDs or third parties; leaving negative feedback for other users using secondary member IDs or third parties (feedback bombing); or leaving negative feedback if a user fails to perform some action that is outside the scope of the trade (feedback extortion). 

15). Member may not commercially exploit any information, including but not limited to, copying any information displayed, on the China-Supply.com web site without prior written authorization from an authorized officer of China-Supply.com.

16). Member agree that China-Supply.com in its sole discretion, may terminate password, account (or any part thereof) or use of the service, and remove and discard member's information within the service, for any reason, including without limitation, if China-Supply.com believes that you have violated or acted inconsistently with the letter and spirit of the agreement. China-Supply.com may also, in its sole discretion and at any time, discontinue providing the service, or any part thereof, with or without notice. You agree that any termination of your access to the service under any provision of this agreement may be effected without prior notice, and acknowledge and agree that China-Supply.com may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the service. Further, you agree that China-Supply.com shall not be liable to you or any third party for any termination of your access to the service.

3. Modifications of Service and Terms
China-Supply.com has the right to modify the terms of service when necessary. If there is any such modification, notice of the change will be posted on the homepage of China-Supply.com. If member does not agree with the changed terms, the service can be terminated. Continued service of the member will be taken as agreeing to the changed terms. China-Supply.com reserves the right to change or end the service without prior notice to the members, nor will we be responsible to the member or any third party for such act. Apart from expressly declared, any new content that might enlarge the service scope or enhance the resource of China-Supply.com is also covered by this agreement.

4. Other Terms
1). China-Supply.com shall not be liable for any direct, indirect, incidental, special or consequential damages, resulting from the improper use of the service, trade on line or other similar service, illegal network use or alteration of member information. All these acts may cause damage to China-Supply.com and hence our prior warning of the probability of this damage.

2). China-Supply.com is not liable for any individual or third party for termination of one or multiple of service arising from actual needs. Should member object to any terms and conditions of this agreement or any subsequent modifications thereto or become dissatisfied with the service in any way, member's only recourse is to immediately discontinue use of the service and notify China-Supply.com to terminate service membership.

3). Upon termination of the service, member's right to use the service immediately ceases. Member has no right, nor is China-Supply.com obliged to transmit any unfulfilled information or service to the user or any third party.

4). All notices to members shall be given by email or post in important pages in our site. Modifications of service terms, changing service or any other important matter will be notified in that way. Notice shall be deemed given twenty-four hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to China-Supply.com during the registration process. In such case, notice shall be deemed given five days after the date of mailing. 

5). Member and China-Supply.com are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this agreement. 

6). China-Supply.com may assign this agreement without your prior consent. 

7). This agreement shall be governed in all respects by the laws of the People's Republic of China. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. 

8). China-Supply.com shall not be liable to you for delays or failures in performance resulting from causes beyond our reasonable control, including, but not limited to, natural disasters, labor disputes or disturbances, material shortages or rationing, riots, acts of war, governmental regulations, communication or utility failures, or casualties. 

9). China-Supply.com may provide, or third parties may provide, links to other World Wide Web sites or resources. Because China-Supply.com has no control over such sites and resources, you acknowledge and agree that China-Supply.com is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that China-Supply.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource. 

10). You agree to indemnify and hold China-Supply.com and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand (including reasonable legal expenses and the expenses of other professionals) made by a third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party. 

11). Any controversy or claim arising out of or relating to this agreement or our services shall be settled by binding arbitration by relative arbitration association in Guangzhou, where China-Supply.com is situated. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Guangzhou, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or China-Supply.com may seek any interim or preliminary relief from a court of competent jurisdiction in Guangzhou, PR. China, necessary to protect the rights or property of you or China-Supply.com pending the completion of arbitration.
